Terms of Service

Welcome to StayStrategy. These Terms of Service ("Terms") govern your access to and use of services provided by StayStrategy ("we," "us," "our"), including our diagnostic tools, search visibility and performance marketing services, websites, and related deliverables. By engaging our services, purchasing through our website, or using our diagnostic tool, you ("Client," "you") agree to these Terms.
If you do not agree, do not use our services.
1. Services
StayStrategy provides search visibility and performance marketing services for hospitality operators, which may include:
AI search visibility optimization
Local SEO and Google Business Profile management
Listings and citation management across third-party platforms
Paid advertising on Meta, Google, and similar platforms
Direct booking website design and development
Monthly reporting and ongoing optimization
Specific deliverables for your engagement will be described in your order confirmation, statement of work, or other written communication from us. Services not expressly included are out of scope and may be quoted separately.
2. Diagnostic Tool
Our online diagnostic tool generates a report based on automated queries to third-party AI systems (such as ChatGPT and Perplexity) at the time the report is run. Results are point-in-time snapshots and may vary substantially across runs and over time as third-party systems change their models, indexes, and policies. The diagnostic is provided for informational purposes only and is not a guarantee of past, current, or future performance.
3. Fees and Payment
Setup Fee. A one-time setup fee of $1,000 (or the amount stated at checkout) is due upon engagement and is non-refundable once setup work has commenced.
Monthly Retainer. Ongoing services are billed at $500/month (or the amount stated at checkout), charged in advance to the payment method on file on the same day each month.
Ad Spend. Any paid media budget (Google Ads, Meta Ads, or similar) is separate from our service fees. Unless otherwise agreed in writing, you are responsible for paying ad spend directly to the platforms and for any charges incurred. We do not advance, hold, or reimburse ad spend.
Payment Method. You authorize us to charge your provided payment method for all fees due. Failed or disputed payments may result in suspension of services and recovery of related costs.
Taxes. Fees do not include applicable taxes, which are your responsibility.
4. Term and Cancellation
The retainer is month-to-month and renews automatically until cancelled. Either party may cancel with at least 7 days' written notice before the next billing date. Cancellations after the renewal charge are effective at the end of the then-current billing period; no pro-rated refunds are issued for partial months.
5. Client Responsibilities
To deliver our services, we need timely access and accurate information. You agree to:
Provide accurate business information (name, address, phone, categories, photos, amenities, and similar) through our intake process
Grant us access to your Google Business Profile, website CMS, ad accounts, and other platforms as needed
Respond to requests for information, approval, or feedback within a reasonable timeframe (typically 3 business days)
Maintain control of your own accounts and credentials and update us promptly when they change
Comply with the terms of service of all third-party platforms used in your engagement
Not engage another vendor to perform conflicting work on the same assets without notifying us
Delays caused by you may extend timelines and do not entitle you to refunds or credits.
6. No Guarantees; Results Disclaimer
Search visibility, AI search visibility, ad performance, traffic, leads, bookings, and revenue depend on factors outside our control, including but not limited to third-party algorithms and policies, competitor activity, seasonality, your pricing and product, reviews, and changes in consumer behavior.
We do not guarantee any specific outcomes, including rankings, mentions by AI systems, impressions, click-throughs, traffic volumes, lead volumes, booking volumes, or revenue. Past performance does not predict future results. Any examples, case studies, benchmarks, or projections shared by us are illustrative and are not promises of outcomes for your business.
7. Third-Party Platforms
Our services rely on third-party platforms including but not limited to Google, Meta, Bing, Apple, TripAdvisor, Yelp, OpenAI, Perplexity, Viator, GetYourGuide, Booking.com, Airbnb, Vrbo, and similar platforms. These platforms may change their features, policies, pricing, models, or algorithms at any time without notice, and may suspend, restrict, or terminate accounts.
We are not responsible for outages, feature changes, policy changes, account actions, or other consequences arising from third-party platforms. Service performed before a platform change remains billable.
8. Intellectual Property
Your Content. You retain ownership of content, trademarks, logos, photos, and other materials you provide to us. You grant us a non-exclusive, worldwide license to use them as needed to deliver and promote the services performed for you.
Our Work. Upon full payment, you receive a non-exclusive, perpetual license to use the specific deliverables created for your business (such as schema markup, content pieces, profile descriptions, ad creative, and website code). We retain ownership of our underlying methods, templates, SOPs, frameworks, prompts, and tools, and may reuse and adapt them for other clients.
Diagnostic Reports. Reports generated by our diagnostic tool are for your internal use. You may not republish or redistribute them without our written permission.
9. Confidentiality
Each party agrees not to disclose the other's non-public business information learned in the course of the engagement, except (a) as required by law, (b) to professional advisors bound by confidentiality, or (c) to subcontractors and service providers bound by similar obligations and only as needed to deliver services. Aggregated and anonymized performance data may be used by us for marketing and case studies.
10. Subcontractors and Service Providers
We may use subcontractors and third-party service providers to deliver services. We remain responsible for work performed on your behalf under these Terms.
11. Warranty Disclaimer
SERVICES, DELIVERABLES, AND THE DIAGNOSTIC TOOL ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BOOKINGS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless StayStrategy and its owners, employees, and contractors from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) content, information, or assets you provide, (b) your business operations, products, or services, (c) your violation of any third-party platform's terms, or (d) your breach of these Terms.
14. Refunds
Setup fees are non-refundable once work has commenced. Monthly retainer fees are non-refundable, including for unused portions of a billing month. If you believe a billing error has occurred, contact us in writing within 30 days of the charge.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under or in connection with these Terms will be resolved exclusively in the state or federal courts located in [Miami-Dade County], Florida, and the parties consent to personal jurisdiction and venue there. The prevailing party in any dispute is entitled to recover reasonable attorneys' fees and costs.
16. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on staystrategy.com with a revised "Last updated" date. Material changes will be communicated to active clients by email. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
17. Entire Agreement; Severability; Assignment
These Terms, together with any order confirmation, statement of work, or written agreement signed by both parties, constitute the entire agreement between you and StayStrategy on this subject and supersede all prior agreements and representations. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
